Incorporation of a Cyprus Company
Cyprus as part of the EU has become very popular as a forum for providing business to foreign enterprises and even individuals. The manner in which a Cypriot Company is to be incorporated and particularly the information which is requested to be presented by the applicant/entity include:
(i) The company name since the Applicant shall provide a number of proposed names which shall be approved by the Registrar of Companies and Official Receiver in Cyprus. It is worthy to mention that if a name is similar to an existing company or perhaps misleading it may not be accepted by the Registrar of Companies.
(ii) The Company’s Memorandum and Articles of Association;
(iii) The share capital;
(iv) Directors and secretary and
(v) Registered office.
The above shall be filed before the Registrar of Companies which subsequently and provided that the above documentation had been satisfactory, shall proceed with the incorporation of the Company, assigning the registration number and upon request by the Applicant also provide a set of certifications such as for example certification of incorporation, certification of directors and secretary, certification of shareholders etc.
